Spoken Light Design – Terms of Service

Welcome to Spoken Light Design. By accessing or using our website or services, you agree to comply with and be bound by these Terms of Service (“Terms”). Please read them carefully before using our site or engaging our services. If you do not agree with these Terms, do not use our website or services.
1. Company Information
Spoken Light Design is a U.S. based web design agency specializing in creating dynamic, effective websites for clients within the United States. All projects, communications, and payments are handled exclusively through our designated Project Manager.
2. Eligibility
We only work with clients located in the United States.
You must be at least 18 years old to enter into a binding agreement with us.
3. Services Offered
We provide web design and related services as described on our website or in a custom proposal. Specific project details, timelines, and deliverables will be defined in a separate written agreement before work begins.
4. Payment Terms
All client payments must be made directly to Spoken Light Design’s designated Project Manager.
Accepted payment methods include PayPal, Cash App, Zelle, or Venmo, as specified on your invoice.
Payment is due upon receipt unless otherwise stated in the project agreement.
Late payments are subject to a late fee of 25% per month on the outstanding balance.
Services may be suspended for overdue accounts until payment is received in full.
5. Client Responsibilities
Clients agree to:
Provide all necessary project materials (content, images, access credentials, etc.) in a timely manner.
Review and approve deliverables promptly to avoid project delays.
Ensure all provided content is owned by the client or properly licensed.
6. Prohibited Projects
We do not accept projects from industries or content categories including:
Adult content / sexually explicit material
Weapons or violence-related products
Illegal goods, services, or activities
Spoken Light Design reserves the right to decline any project at our sole discretion.
7. Intellectual Property
All designs, code, and creative work remain the property of Spoken Light Design until payment is received in full.
Upon full payment, rights to the final, approved deliverables are transferred to the client, unless otherwise agreed in writing.
We retain the right to display completed projects in our portfolio unless otherwise agreed.
8. Revisions & Scope Changes
Projects include a set number of revision rounds as stated in the project agreement.
Additional revisions or changes outside the agreed scope may incur extra charges.
9. Third-Party Services & Licenses
If your project requires third-party services (such as stock photography, fonts, plugins, or hosting), you are responsible for any associated costs unless otherwise stated in writing.
10. Confidentiality
We will not share your confidential information with third parties except as necessary to complete your project or as required by law.
11. Limitation of Liability
Spoken Light Design is not liable for:
Any indirect, incidental, or consequential damages.
Loss of data, profits, or business opportunities.
Issues arising from hosting providers, third-party services, or client-provided content.
12. Termination
Either party may terminate a project with written notice. In such cases, the client will be invoiced for work completed up to the termination date.
13. Governing Law
These Terms are governed by the laws of the State of Tennessee, without regard to conflict of law principles.
14. Changes to Terms
We may update these Terms at any time without prior notice. The latest version will always be posted on our website.
